Bylaws Update

Board of Directors

It takes a Neighborhood

The SBNA's bylaws that govern our organization, are over 20 years old. While for the most part they are timeless, there are aspects of the original bylaws that don't take our modern society into consideration. One of the goals in 2020 is to update the association so that it is easy to run, sensible in its rules for participation, and easy to hand off to succeeding board members in coming years. We are asking SBNA members to vote to ratify our changes at the next community meeting on Tuesday, October 27, 2020.

The Board of Directors are responsible for the general management and supervision of the business and affairs of the Association except for powers reserved to the members by the articles of organization or the bylaws.. The Board of Directors may delegate any of its powers to committees. Each director shall perform duties, including serving as chairperson of a committee, as determined by the Board of Directors. Additional directors may be elected from time to time. Directors meet bi-monthly and each has a term of two years. There are seven members of the Board of Directors.

What a great neighborhood we live in. We hope to introduce you to many more residents, who get involved in a myriad of tasks and committees. Introductions coming soon!
John Morse, a longtime resident and neighborhood friend passed away on Monday, January 11th.  John moved to Durham Street in the 1970’s and was actively involved with the neighborhood, the first neighborhood association (SBCC) and the SBNA during his longtime residency.  As an appointed member to the St. Botolph Architectural Conservation District Commission for many years, John was vigilant in providing guidance to neighbors and developers on the architectural requirements of our historic district.  He and Virginia were always out with their brooms and dustpans on clean up days beautifying the neighborhood and , for those of us who remember the St. Botolph Street Fairs, many of the signs were created by John.  We are lucky enough to still have some of those signs and we use them for social events.  After John retired from Polaroid, he could  always be seen chatting with neighbors on his walks or while on his way to volunteer somewhere.    John’s friendly manner and big smile was a joy to everyone and he will be missed.  John is survived by his lovely wife, Virginia who resides at 9 Durham Street.

Executive Officers

The executive officers are automatically Board of Directors, and serve two year terms. There are four Executive Officers: The President, Vice President, Treasurer and Clerk.

Current President

The president has other powers and duties as customarily belonging to the office of President or as may be designated from time to time by the board of directors. The president interacts with other Boston neighborhood associations and maintains a working relationship with the City of Boston departments.

Kathie Enright – The clerk records all minutes of the member meetings and the director meetings and has custody of the records (other than financial records) of the Association. These archives also contain the Articles of Organization, bylaws of the Association, required state filings and the names of all members, directors and officers and the address of each. The clerk makes these records available for the inspection of any paid member. The clerk shall prepare and file with the Secretary of State of the Commonwealth of Massachusetts an annual report and all other reports and certificates as required by law. The clerk coordinates with the SBNA membership and communications chair for email and bulletin board notices.

Current Treasurer

Lorraine Steele – The treasurer is the chief financial officer of the Association under the direction of the board of directors. The treasurer keeps full and accurate records of the financial affairs of the Association and provides them for inspection by any director. The treasurer also prepares and files, in a timely manner, all tax returns and financial reports as may be required by law. The Treasurer prepares and distributes, at least semi-annually, a written accounting of the financial condition of the Association to the board of directors and another accounting to the members.
